01About these terms
These Terms and Conditions (the “Terms”) govern the provision of analytical services by ZERA Bioanalytics (“ZERA”, “we”, “us”, “our”), a laboratory established in Switzerland with its registered address at Möhe 118, 2563 Ipsach, Switzerland, to the person or organisation ordering those services (the “Client”, “you”, “your”).
By submitting a sample, placing an order, or requesting a quotation, you accept these Terms in full. If you do not accept them, do not submit a sample or place an order. These Terms prevail over any conflicting terms you put forward, unless we have expressly agreed otherwise in writing.
We provide analytical services on a business-to-business basis to approved professional and organisational clients only. Our services are not offered to consumers, and nothing on our website is an offer or invitation directed at consumers.
02Scope of service
ZERA provides analysis of samples submitted by clients. The laboratory determines identity, quantity, purity, contamination, sterility, endotoxin content or other parameters strictly according to the analytical scope selected at the time of ordering and any quotation we confirm.
ZERA does not supply, sell, distribute or broker any substance. It does not advise on the use of any substance, and no report should be read as a recommendation to use, administer, consume or handle anything.
We are not obliged to test for, detect or report anything outside the agreed analytical scope, and the absence of a parameter from a report does not imply anything about that parameter.
03What a result describes
A report describes the sample that was received, as it was received, and as at the date and conditions of analysis. It does not describe any other unit, batch, production run or shipment, and it cannot speak to material the laboratory has not analysed.
Results are bounded by the method applied and its detection limit. A substance not detected is a substance not detected by that method above that limit — it is not a statement that the substance is absent. Every measurement carries an inherent uncertainty, which where stated forms part of the result.
A report is not a guarantee of any future condition of the material, nor of any unit other than the specimen submitted.
04Sample submission and your obligations
Samples are accepted only against a sample reference issued by the laboratory. Samples arriving without a valid reference may not be attributable to a client and may be discarded without liability.
You warrant that all information you provide is accurate, that you are lawfully entitled to possess the material submitted and to have it analysed, and that the sample is sufficient, representative and safely packaged. You must disclose any known hazard associated with the material.
You are solely responsible for compliance with all export, import, customs, transport and other laws applicable to the dispatch and submission of a sample. We cannot and do not advise on the legality of sending any given material from or to any jurisdiction.
05Ordering, quotations and pricing
Prices are stated per analysis in the schedule. Fixed-price analyses can be ordered directly. Analyses shown as from-pricing or requiring quotation are confirmed by the laboratory before work begins. Unless stated otherwise, prices exclude applicable taxes, duties and shipping.
A quotation is valid for the period stated in it or, if none is stated, for 30 days. An order is accepted, and a contract formed, when we confirm it or begin work on the sample, whichever is earlier.
06Payment
Fees are due as stated on the order or invoice. Where payment is made in cryptocurrency or another agreed method, you bear any network fees, conversion costs and price volatility, and payment is treated as made only when funds are irreversibly received by us.
We may withhold the commencement of work, the release of a report, or the verification of a report until payment has been received in full. Once analysis has begun, fees are non-refundable, save where required by mandatory law or expressly agreed by us in writing.
07Turnaround times
Any turnaround time we state is an estimate measured from the point at which a sample is logged against its reference, not from the point of order or dispatch. Time is not of the essence.
We are not liable for delays caused by sample condition, incomplete or inaccurate information, third parties, or circumstances beyond our reasonable control.
08Reports, verification and confidentiality
Each report is issued to the Client who submitted the sample and carries a report identifier and a private task number. Our verification service confirms only that a matching published record exists and that the identifiers and values presented correspond to that record; it does not disclose confidential dossier data.
Disclosure of a task number, a report, or a verification link to any third party is the Client’s decision and their responsibility. We treat sample details and results as confidential to the Client and do not publish Client results, save where disclosure is required by law, court order or a competent authority.
09Intellectual property and use of reports
All reports, the report format, our seals and marks, and the website and its content are our intellectual property. A report is licensed to the Client for its own internal and record-keeping purposes only and may not be reproduced or quoted other than in full and unaltered.
A report is a measurement of a sample. It is not an approval, a certification of safety, an endorsement or a recommendation. Reports must not be used, in whole or in part, as marketing or promotional material for any substance, product, seller or use, and must not be presented in any way that suggests ZERA endorses a product, a seller or a use.
Any misuse of a report terminates the licence to use it and may be pursued as infringement.
10Retention and disposal of samples
Physical samples are retained only for as long as the analysis and any re-analysis reasonably require, and are then destroyed. We are not a storage facility and accept no obligation to return samples unless agreed in writing before submission.
11Warranties and disclaimers
We perform our services with reasonable skill and care and in accordance with our methods. Save for this, and to the fullest extent permitted by law, we give no warranties, whether express or implied, including any implied warranty of merchantability, quality or fitness for a particular purpose.
Our reports are not medical, clinical, safety, regulatory or legal advice, and must not be relied upon as such. Whether any material is safe or suitable for any purpose is a question for the Client and, where relevant, a qualified professional — not for the laboratory.
12Limitation of liability
To the fullest extent permitted by applicable law, our total aggregate liability arising out of or in connection with a given analysis — whether in contract, tort (including negligence), or otherwise — is limited to the fee paid to us for that analysis.
We are not liable for any indirect, incidental, special or consequential loss, nor for loss of profit, revenue, goodwill, data or opportunity, nor for any decision taken on the basis of a report, including any decision to use, administer, consume, distribute, sell, withhold or dispose of any material.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by our negligence, or for our own wilful misconduct or gross negligence where such limitation is not permitted.
13Indemnity
You agree to indemnify and hold us harmless against any claim, loss, liability, cost or expense (including reasonable legal costs) arising from your submission of a sample, your use or disclosure of a report, your breach of these Terms, or your breach of any law applicable to the material you submit or the use you make of our services.
14Force majeure
We are not liable for any failure or delay in performing our obligations that is caused by events beyond our reasonable control, including natural events, failures of transport or utilities, acts of authorities, or restrictions on the handling or transport of materials.
15Refusal, suspension and termination
We may decline, suspend or discontinue any sample, order or request, at our discretion and without stating a reason, including where we consider that accepting or continuing it would be unlawful, unsafe, or inconsistent with our role as an independent laboratory.
Where we decline work before it begins, our liability is limited to refunding any fee paid for the declined work.
16Changes, and general provisions
We may amend these Terms from time to time. The version in force is the one published on our website at the time you submit a sample or place an order.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in force. Our failure to enforce a provision is not a waiver of it. You may not assign your rights or obligations without our consent; we may assign ours to a successor of our business. These Terms are the entire agreement between us in respect of their subject matter.
17Governing law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or with our services (including non-contractual disputes), are governed by the substantive laws of Switzerland, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The competent courts at ZERA’s registered seat in Switzerland have exclusive jurisdiction, subject to any mandatory place of jurisdiction. Questions about these Terms can be sent to contact@zerabioanalytics.ch.
